The impact of the growth and expansion of the Regiment across CONUS and the needs and desires of a dispersed alumni drives the NSA to follow the historical lead of similar organizations by establishing independent Chapters that would report to a National NSA Association.
A vote will be conducted during the month of June 2008 regarding the NSA Constitution and Bylaws. Ballots will be posted on the NSA website with instructions for casting your vote.

Subject: Proposed Constitution/Bylaws for the Night Stalker Association (NSA)
1. A Tiger Team headed by BG (R) Howard Yellen has proposed a revised Constitution and Bylaws for the NSA.
2. The overarching purpose of the NSA would remain the same; to support the Night Stalker Soldier and his family.
3. A National Executive Board (NEB), consisting of elected officers and Chapter Presidents, would provide guidance and approve the policies, procedures, and plans under which the Board of Governors would execute day to day operations.
4. The Board of Governors, consisting of elected officers, would be accountable to the NEB and responsible to effectively and efficiently execute the day to day operations.
5. Any location that could assemble at least 20 NSA members could establish a local chapter. A Chapter Executive Board would be elected.
6. The term of office for all elected officer would be two years.
7. Membership dues amounts may be established based on a rank structure upon approval of the NEB.
8. Expenditures up to $2000 or 50% of cash on hand, whichever is least, could be approved by the Board of Governors. Amounts between $2000 and $5000 would require approval of the NEB. Amounts over $5000 would require approval of a majority vote during a General Membership meeting (conducted during WONSA).
9. The NSA would be reorganized under Internal Revenue Code Section 501 (c) (3)
Charitable Organizations. The NSA is currently organized under Section 501 (c) (19) Veterans Organizations. Both are not for profit organizations.
10. Amendments to the Constitution would require a two-thirds vote of all voting members with proper notice, proper time duration, and fair discussion of issues.
11. Amendments to the Bylaws could be proposed by the NEB or petition with twenty (20) signatures. Approval of amendments to the Bylaws would require a two-thirds vote by the National Executive Board.
